Job Title:  Legal Executive

Job Summary

  • Provides legal, contractual, and compliance support to the Legal Counsel / Head of Legal and Compliance in the delivery of timely, accurate, and practical legal services across the Company’s clinical, corporate, commercial, and operational functions.
  • Supports the effective management of legal risk, regulatory compliance, contractual obligations, and governance requirements of the Company, with particular emphasis on contract review and drafting, legal research, compliance coordination, and operational legal support.
  • Acts as a key execution and implementation resource within the Legal and Compliance Department, enabling the Legal Counsel to focus on strategic advisory, executive consultation, and enterprise level legal risk management.

Principles Duties and Responsibilities

  • Legal Advisory Support
    • Conduct legal research and prepare legal memoranda, briefs, and summaries to support advice provided by the Legal Counsel.
    • Assist in monitoring legislative and regulatory developments and prepare impact assessments where required.
    • Support the review and drafting of internal policies, procedures, and guidelines to ensure legal compliance.

 

  • Contract Review and Management
    • Draft, review, and revise contracts, agreements, MOUs, NDAs, and related legal documents under the supervision of the Legal Counsel.
    • Assist in coordinating the contract workflow process, including coordination with internal departments and external parties.
    • Assist in identifying contractual risks, key obligations, and compliance issues for escalation to the Legal Counsel.
    • Support the development and maintenance of standard contract templates and clause libraries.

 

  • Compliance and Regulatory Support
    • Assist in maintaining statutory records, corporate filings, and regulatory submissions.
    • Support audits, inspections, and internal compliance initiatives coordinated by the Legal and Compliance Department.
    • Assist in tracking compliance obligations and assist with follow up actions across departments.

 

  • Dispute, Incident, and Risk Support
    • Assist in the management of complaints, incidents, and potential legal disputes, including document review and information collation.
    • Support litigation and dispute matters by coordinating with external counsel, preparing documentation, and maintaining case records.
    • Assist in evidence preservation, documentation management, and reporting for legal and regulatory purposes.

 

  • Operational and Stakeholder Legal Support
    • Act as a first line legal contact for routine legal queries, within defined scope, escalating complex matters appropriately.
    • Provide legal support to HR, finance, procurement, and operations on employment, contractual, and compliance matters.
    • Support internal training, awareness programmes, and legal education initiatives as directed.

Professional Requirements

  • Minimum 3 to 6 years’ post qualification experience in legal practice or in house legal functions.
  • Demonstrated experience in:
    • Civil and commercial litigation support
    • Corporate and commercial advisory work
    • Contract drafting, review, and negotiation
  • Prior experience in a law firm handling civil, commercial, and corporate matters is highly desirable.
  • Exposure to healthcare, regulated industries, or large institutional organisations is an advantage.
  • Admission as a legal practitioner in Brunei Darussalam is strongly preferred.
  • Admission in another common law jurisdiction may be considered, subject to experience and relevance.
  • Completion of pupillage / chambering and prior practice in a recognised law firm is preferred.

Educational Requirements

  • Bachelor of Laws (LLB) from an institution recognised by the Government of His Majesty of Negara Brunei Darussalam.
  • Postgraduate legal qualifications (e.g. CLP, BPTC, LPC, BVC or equivalent) are an advantage.
  • Candidates with equivalent education and relevant professional experience may be considered.

Specialised Skills/Knowledge/Attribute Requirement

  • Sound knowledge of corporate and commercial law, including contract law, company law, and regulatory compliance.
  • Working knowledge of litigation processes, dispute management, and interaction with external counsel.
  • Familiarity with employment and labour law principles, particularly as applied to professional and clinical environments.
  • Understanding of confidentiality, data protection, and privacy obligations, especially relating to sensitive patient and organisational information.
  • Strong legal research, drafting, and analytical skills, with attention to accuracy and risk identification.
  • Ability to translate legal advice into practical, operational guidance for non legal stakeholders.
  • High level of professionalism, discretion, and ethical judgment.
